Welcome to UpNorth Marketplace. These Terms of Use ("Terms") govern your access to and use of our website and mobile app (the "Service"). By using the Service, you agree to these Terms. If you do not agree, please do not use the Service.

1. The Platform

UpNorth Marketplace is a platform that connects buyers with independent Canadian sellers. We facilitate transactions but are not a party to the contract between a buyer and a seller. Sellers are responsible for their listings, inventory, and fulfilment; buyers are responsible for reviewing listings before purchasing.

2. Your Account

• You must be at least 16 years old to create an account.
• Provide accurate, current information when registering.
• Keep your password secure and confidential; you are responsible for activity under your account.
• Notify us immediately of any unauthorized use of your account.

3. Seller Obligations

• Listings must be accurate, lawful, and not misleading.
• Sellers may only sell goods they have the right to sell and that comply with Canadian law.
• Sellers must fulfil orders promptly, provide tracking, and meet the standards in our Shipping & Returns policy.
• Sellers are responsible for their own taxes, licences, and business compliance.

4. Buyer Obligations

• Provide accurate shipping information and pay for orders in full.
• Reviews must be honest and based on genuine experience; fake or paid reviews are prohibited.
• Do not abuse the returns process or attempt fraud.

5. Listings & Accuracy

We do not guarantee that any listing is accurate, available, or deliverable. We may remove listings that violate these Terms or applicable law. Pricing is in Canadian dollars (CAD) unless stated otherwise.

6. Purchases & Payment

Payments are processed securely by Stripe. Applicable taxes are calculated at checkout based on your province. By placing an order you authorize us to charge the displayed total to your payment method.

7. Shipping & Returns

Delivery and returns are governed by our Shipping & Returns policy and, where applicable, the seller's stated terms. Please review that policy before purchasing.

8. Prohibited Conduct

• Fraud, money laundering, or other illegal activity.
• Selling counterfeit, restricted, or infringing goods.
• Harassment, hate speech, or threatening other users.
• Attempting to disrupt, reverse engineer, or overload the Service.
• Creating accounts to circumvent bans or restrictions.

9. Intellectual Property

The UpNorth name, logo, and Service content are owned by us or our licensors. Sellers retain ownership of their listing content but grant us a license to display it on the Service. You may not use our trademarks without written permission.

10. Reviews & Content

By posting reviews or content, you grant us a non-exclusive, royalty-free license to use, display, and reproduce it on the Service. We may remove content that violates these Terms.

11. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any listing is accurate.

12. Limitation of Liability

To the maximum extent permitted by law, UpNorth shall not be liable for indirect, incidental, or consequential damages, or for any claim arising from a transaction between a buyer and a seller. Our total liability is limited to the amount you paid us in the relevant transaction.

13. Indemnity

You agree to indemnify and hold UpNorth harmless from claims arising from your use of the Service, your conduct, or your breach of these Terms.

14. Governing Law

These Terms are governed by the laws of Canada and the province in which UpNorth operates. Disputes will be resolved in the courts of competent jurisdiction in Canada.

15. Changes to These Terms

We may revise these Terms from time to time. The updated version takes effect when posted, with the "Last updated" date above. Continued use after changes means you accept the revised Terms.
